1. Acceptance of Terms

Welcome to SheetWave ("we," "us," "our," "Company," or "Service"). These Terms of Service ("Terms") govern your use of our application, website, and services. By accessing or using SheetWave, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use our Service.

SheetWave is a software application that integrates Shopify stores with Google Sheets for automated data synchronization and management.

2. Definitions

• "Account" - Your user account created to access SheetWave
• "Content" - All data, information, and materials in your Shopify store and Google Sheets
• "Service" - SheetWave application and all its features and functionalities
• "User" - Any individual or entity accessing SheetWave
• "Shopify Store" - Your Shopify merchant account and associated data
• "Google Sheets" - Google's spreadsheet application where synced data is stored

3. Use License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use SheetWave subject to these Terms. This license does not include any right to:

• Modify or copy the application or its content
• Use the service for commercial purposes without proper authorization
• Attempt to gain unauthorized access to the service or related systems
• Transmit any harmful, malicious, or illegal content
• Reverse engineer, decompile, or attempt to discover the source code
• Remove any copyright, trademark, or proprietary notices
• Sell, rent, or lease access to the service

4. User Responsibilities & Account Security

Account Creation: When creating an account, you agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of your login credentials
• Not share your account with unauthorized persons
• Immediately notify us of any unauthorized account access
• Accept responsibility for all activities under your account

OAuth Authorization: By authorizing SheetWave to access your Shopify store and Google Sheets, you grant us permission to:

• Read and sync your Shopify store data
• Create and modify data in your Google Sheets
• Process webhook events from your Shopify store
• Manage your data according to configured sync settings

5. Data Ownership & Rights

Your Data: You retain all ownership rights to your Shopify store data and Google Sheets data. SheetWave merely processes and synchronizes this data according to your instructions.

Our Rights: SheetWave owns all intellectual property rights to:

• The SheetWave application and software
• Application code, algorithms, and features
• Logos, trademarks, and branding materials
• Documentation and user guides

Usage Data: We may collect anonymized usage statistics and analytics to improve our service. This data does not identify you personally.

6. Acceptable Use Policy

You agree NOT to use SheetWave to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in unauthorized access, hacking, or system interference
• Transmit malware, viruses, or harmful code
• Spam, harass, abuse, or threaten other users
• Engage in fraudulent or deceptive practices
• Violate intellectual property rights
• Impersonate any person or entity
• Attempt to overload or disable the service (DoS attacks)
• Access data you are not authorized to access
• Use the service for any illegal purpose

7. Third-Party Services

SheetWave integrates with third-party services including Shopify, Google Sheets, and Google Drive. Your use of these services is subject to their respective terms and privacy policies:

We are not responsible for the availability, performance, or content of third-party services. Your use of these services and any disputes arising from them are between you and the service provider.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SHEETWAVE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profit, revenue, data, or business opportunities
• Service interruptions or data loss
• Actions or inactions of third-party services
• Unauthorized access to your account

Our total liability for any claim shall not exceed the amount you paid for the service in the last 12 months.

9. Disclaimers

SHEETWAVE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness of content
• Warranties that the service will be uninterrupted or error-free
• Warranties that the service is free from viruses or malware

10. Service Availability & Interruptions

While we strive for high availability, SheetWave may experience:

• Scheduled maintenance (we provide advance notice when possible)
• Unscheduled outages or technical issues
• API rate limits from Shopify or Google
• Service degradation during high-traffic periods

We are not liable for service interruptions or data loss resulting from circumstances beyond our reasonable control.

11. Payment & Billing

Charges: If you purchase a paid plan, you agree to pay all applicable fees as described on our pricing page.

Billing: Charges are billed according to your selected plan (monthly, yearly, etc.).

Cancellation: You may cancel your subscription at any time. Refunds are not provided for partial months.

Price Changes: We may modify pricing with 30 days' notice. Continued use of the service after price changes constitutes acceptance.

12. Termination

Termination by You: You may terminate your account at any time by requesting account deletion through your settings or contacting support.

Termination by Us: We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in illegal or fraudulent activities
• Repeatedly fail to pay fees
• Attempt to harm, hack, or abuse the service

Data After Termination: Upon account deletion, we retain the right to delete all associated data within 30 days. Your Shopify and Google Sheets data are not affected.

13. Indemnification

You agree to indemnify, defend, and hold harmless SheetWave and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of applicable laws
• Your use of SheetWave or third-party services
• Your content or data transmitted through the service

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United States of America, without regard to its conflicts of law principles. You consent to the jurisdiction of the federal and state courts located in California for resolution of any disputes arising from these Terms or your use of SheetWave.

15. Dispute Resolution

Before initiating legal action, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or in court as permitted by law.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated via email or prominent notice on our website. Your continued use of SheetWave following changes indicates your acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
